Terms and Conditions

Please read these Terms and Conditions carefully. All products sold and services provided by Creative Displays, Inc. are subject to these Terms and Conditions.
These Terms and Conditions apply to all quotations, sales orders, invoices, product sales, services, shipments, deliveries, website purchases, catalog orders, telephone orders, email orders, and other transactions with Creative Displays, Inc.
By signing a sales order, accepting a quotation, submitting a purchase order, checking a box accepting these Terms and Conditions, making payment, accepting shipment, accepting delivery, using our website to place an order, or otherwise proceeding with an order, customer agrees to these Terms and Conditions.
For custom, made to order, special order, seasonal, modified, imported, production, or nonstock products, the applicable sales order, together with these Terms and Conditions, forms the agreement between customer and Creative Displays, Inc.
For in stock warehouse products or other orders that do not require a signed sales order, the applicable quotation, invoice, order confirmation, shipment, delivery, and these Terms and Conditions form the agreement between customer and Creative Displays, Inc.
Electronic signatures, checkbox acceptance, email acceptance, and other electronic records of acceptance are intended to have the same legal effect as handwritten signatures and paper records to the fullest extent permitted by applicable law.
Commercial Sales Only
Creative Displays, Inc. sells products and services for commercial, institutional, municipal, contractor, and professional use. Products are not sold for personal, family, or household use. Customer represents that any purchase from Creative Displays, Inc. is for commercial, institutional, municipal, contractor, professional, or business use.
These Terms and Conditions are intended as a business-to-business agreement.
Product Supplier Only
Creative Displays, Inc. supplies products only unless a separate written agreement signed by Creative Displays, Inc. expressly states otherwise.
Creative Displays, Inc. does not perform installation, electrical work, engineering, site inspection, anchoring, permitting, code compliance, utility location, structural review, maintenance, removal, storage, or field services unless expressly stated in a separate written agreement signed by Creative Displays, Inc.
Customer is solely responsible for installation, site conditions, electrical capacity, mounting conditions, anchoring, permits, utility location, code compliance, maintenance, removal, storage after delivery, and the acts or omissions of any installer, electrician, contractor, municipality, employee, agent, or third party.
Any guidance, product information, quantity estimate, layout assistance, or general recommendation provided by Creative Displays, Inc. is provided for general informational purposes only and does not create any warranty, installation obligation, engineering obligation, site inspection obligation, or guarantee of fitness for a particular site or purpose.
Order of Precedence and Purchase Orders
Acceptance by Creative Displays, Inc. of any order is expressly limited to these Terms and Conditions and, when applicable, the signed sales order, quotation, order confirmation, or invoice issued by Creative Displays, Inc.
Creative Displays, Inc. expressly objects to and rejects any additional, inconsistent, or conflicting terms contained in any customer purchase order, request for quotation, procurement document, acknowledgment, confirmation, or other customer document unless expressly accepted in a writing signed by an authorized representative of Creative Displays, Inc.
Fulfillment of an order, shipment of products, issuance of an invoice, acceptance of payment, or performance of services shall not constitute acceptance of any customer terms that conflict with or add to these Terms and Conditions.
If there is a conflict between a signed sales order and these Terms and Conditions, the signed sales order controls only as to the specific conflicting term. All other Terms and Conditions remain in full force and effect.
Government and Municipal Purchasers
Creative Displays, Inc. values its relationships with municipalities, government agencies, schools, public entities, and other institutional purchasers.
If a government, municipal, school, or public entity is legally prohibited from agreeing to a specific provision of these Terms and Conditions, that provision shall be modified only to the minimum extent necessary to comply with applicable law, and all remaining provisions shall remain in full force and effect.
Unless expressly modified in a writing signed by Creative Displays, Inc., all product scope, payment, warranty, return, freight, cancellation, limitation of liability, claim period, and Product Supplier Only provisions shall continue to apply to the fullest extent permitted by applicable law.
Any payment timing, interest, fee, dispute resolution, governing law, venue, indemnification, arbitration, jury waiver, or other term that is limited by applicable law for a government, municipal, school, or public entity shall apply only to the fullest extent permitted by applicable law.
Quotes and Pricing
Written quotations from Creative Displays, Inc. are valid for thirty days from the date of issue unless otherwise stated in writing. Prices are subject to change without notice for orders that have not yet been accepted by Creative Displays, Inc.
Quoted prices are based on costs known at the time of quotation. Creative Displays, Inc. may adjust pricing to reflect documented increases in tariffs, duties, freight, fuel surcharges, import costs, carrier charges, material costs, manufacturer charges, government charges, or other costs outside the reasonable control of Creative Displays, Inc.
Creative Displays, Inc. will provide written notice of any price adjustment before proceeding with the affected order. If customer does not accept the adjusted price, customer may cancel the affected order without penalty only if Creative Displays, Inc. has not begun procurement, design, ordering, production, or fabrication for that order.
After Creative Displays, Inc. has begun procurement, design, ordering, production, or fabrication, customer remains responsible for costs incurred by Creative Displays, Inc., including materials, manufacturer charges, procurement costs, freight, administrative costs, and other costs incurred, up to the full purchase price of the order.
Payment Terms
Unless otherwise agreed in writing by Creative Displays, Inc., payment is due as stated on the invoice.
Orders requiring a deposit will not enter production, procurement, design, ordering, or fabrication until the deposit is received. Unless otherwise agreed in writing by Creative Displays, Inc., the balance of the invoice is due before shipment.
Deposits are non-refundable. Failure to pay the balance of the invoice when due may result in loss of the deposit, cancellation of the order, suspension of production, hold of shipment, or closure of the order.
If Creative Displays, Inc. cancels an order for reasons other than customer breach, customer nonpayment, customer delay, suspected fraud, credit concern, or customer requested cancellation, any deposit paid for that order will be refunded, less any documented amounts already earned, spent, committed, or incurred by Creative Displays, Inc. for that order, including materials, manufacturer charges, procurement costs, design costs, freight, administrative costs, storage costs, and other order related costs.
Past due balances are subject to a late charge of one and one half percent per month, which equals eighteen percent per year, or the maximum rate permitted by applicable law, whichever is less.
Creative Displays, Inc. reserves the right to suspend production, hold shipments, delay delivery, suspend warranty assistance, require prepayment, or decline future orders on any account with a past due balance.
Customer is responsible for all costs of collection, including reasonable attorney fees, court costs, collection agency fees, and related expenses, to the fullest extent permitted by applicable law.
Custom, Special Order, and Production Orders
Custom, made to order, special order, seasonal, modified, imported, production, or nonstock products are final sale.
These orders may not be cancelled once the sales order is signed, the customer accepts the quotation, the deposit is paid, or Creative Displays, Inc. begins procurement, design, ordering, or production, whichever occurs first, unless Creative Displays, Inc. agrees otherwise in writing.
If Creative Displays, Inc. permits cancellation, customer remains responsible for the deposit, all work performed, materials ordered, manufacturer charges, freight charges, storage costs, administrative costs, and all other costs incurred by Creative Displays, Inc., up to the full purchase price of the order.
Custom, made to order, special order, seasonal, modified, imported, production, or nonstock products are not eligible for return, refund, or exchange unless expressly approved in writing by Creative Displays, Inc.
Limitation on Liability
To the fullest extent permitted by applicable law, the total liability of Creative Displays, Inc., its shareholders, directors, officers, employees, agents, suppliers, and manufacturers for any claim arising out of or relating to any product, service, order, shipment, delivery, delay, defect, failure, or transaction shall not exceed the purchase price paid to Creative Displays, Inc. for the affected product or service.
To the fullest extent permitted by applicable law, Creative Displays, Inc. shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, loss of business, loss of use, delay damages, labor costs, installation costs, removal costs, reinstallation costs, lift equipment costs, electrician costs, storage costs, damage to property, damage to electrical infrastructure, or claims by third parties, even if Creative Displays, Inc. has been advised of the possibility of such damages.
For any confirmed defective product claim approved by Creative Displays, Inc., customer’s exclusive remedy shall be one of the following, selected by Creative Displays, Inc.: repair, replacement, credit, or refund of the purchase price paid for the affected product.
Creative Displays, Inc. is not responsible for labor, installation, removal, reinstallation, lift equipment, electrician costs, storage, lost profits, lost use, delay damages, property damage, or consequential damages, to the fullest extent permitted by applicable law.
Creative Displays, Inc. does not endorse, warrant, or guarantee third party products, third party services, installers, electricians, contractors, manufacturers, carriers, or other third parties except to the extent expressly stated in writing by Creative Displays, Inc.
Warranty Disclaimer
Creative Displays, Inc. does not make any warranty as to the products sold or services provided except as expressly stated in writing by Creative Displays, Inc.
The product manufacturer may provide a limited warranty on certain products. Any such manufacturer warranty varies by brand and product and is provided solely by the manufacturer.
To the fullest extent permitted by applicable law, Creative Displays, Inc. provides products as is and with all faults and disclaims all other warranties and conditions, express, implied, statutory, or otherwise, including any implied warranty of merchantability, any implied warranty of fitness for a particular purpose, and any implied warranty of noninfringement.
Creative Displays, Inc. does not warrant that any product is suitable for a particular customer site, electrical system, mounting structure, installation method, code requirement, climate condition, storage condition, display plan, municipal requirement, or other situation dependent factor.
Customer’s specific needs are situation dependent. Situation dependent factors include electrical infrastructure, mounting infrastructure, site conditions, local ordinances, local codes, installation methods, weather exposure, maintenance practices, project size, and intended use.
While Creative Displays, Inc., through its agents and employees, may attempt to assist customer in determining products, quantities, or general options, Creative Displays, Inc. does not provide any warranty of fitness for a particular purpose and does not guarantee that any product will meet customer’s specific site conditions, project requirements, or installation needs.
Creative Displays, Inc. recommends that customer consult with a local electrician, professional installer, engineer, code official, or other qualified professional when customer has situation dependent factors, electrical concerns, installation questions, mounting questions, or code compliance concerns.
Manufacturer Warranties
Certain products may include warranties that are provided directly by the manufacturer. These warranties vary by brand and product.
Creative Displays, Inc. does not create, extend, modify, enlarge, or assume any manufacturer warranty. All warranty obligations rest solely with the manufacturer.
Complete warranty details are available from the manufacturer upon request.
While warranty performance is the responsibility of the manufacturer, Creative Displays, Inc. may assist customers in navigating manufacturer warranty claims when appropriate. Any such assistance does not create any additional warranty, service obligation, replacement obligation, or liability beyond the warranty provided by the manufacturer.
Warranty coverage, when available, does not include labor, installation, removal, reinstallation, lift equipment, electrician costs, storage, shipping, misuse, improper installation, improper electrical connection, improper maintenance, alteration, vandalism, accident, weather damage, customer supplied components, installer error, or damage caused by customer, installer, contractor, municipality, employee, agent, or third party.
Indemnification
Customer shall protect, defend, indemnify, and hold harmless Creative Displays, Inc., its shareholders, directors, officers, employees, and agents from and against all fines, damages, costs, losses, liabilities, fees, penalties, claims, and expenses, including reasonable legal fees and expenses, arising out of or relating to customer’s failure, or the failure of customer’s agents, officers, directors, employees, installers, electricians, contractors, municipalities, or other third parties, to comply with these Terms and Conditions.
Customer shall protect, defend, indemnify, and hold harmless Creative Displays, Inc., its shareholders, directors, officers, employees, and agents from and against any claim by a third party arising out of or relating to products purchased from Creative Displays, Inc., including claims involving installation, anchoring, electrical work, maintenance, removal, site conditions, code compliance, property damage, personal injury, lost profits, loss of use, or other damages, except to the extent caused by the gross negligence or willful misconduct of Creative Displays, Inc.
Customer is responsible for the acts and omissions of its installers, electricians, contractors, employees, agents, municipalities, property owners, property managers, and other third parties involved in installation, use, maintenance, storage, removal, or handling of products.
Safety
Safety is customer’s responsibility.
Power tools, electricity, lifts, ladders, mounting hardware, electrical connections, outdoor conditions, and other resources used with products sold by Creative Displays, Inc. can be dangerous unless used properly and with adequate precautions.
Customer is responsible for proper use of equipment and safety gear, determining whether customer and its installers have adequate skill and experience, and ensuring that all products are installed, used, maintained, stored, and removed safely.
Customer is responsible for preventing electrical overloading. Electrical overloading can cause fire, damage electrical infrastructure, or cause other property damage. Creative Displays, Inc. recommends consultation with or work by a local electrician or other qualified professional for all products, especially if customer is unsure of electrical or safety considerations.
Customer is responsible for properly installing any product. Creative Displays, Inc. recommends consultation with or work by a professional installer or other qualified professional for all products, especially if customer is unsure of installation, electrical, mounting, or safety considerations.
Customer is responsible for making sure that all activities comply with applicable laws, ordinances, building codes, electrical codes, fire codes, safety regulations, and other requirements of any state, county, city, municipality, property owner, or other authority.
Creative Displays, Inc. disclaims all responsibility for any damage, injury, expense, fine, penalty, claim, loss, or liability resulting from improper installation, improper electrical use, overloading, improper maintenance, improper removal, failure to comply with applicable laws or codes, or acts or omissions of customer, installers, electricians, contractors, municipalities, employees, agents, or third parties.
Force Majeure
Neither party shall be liable to the other for failure to perform or delay in performance due to causes beyond its reasonable control, where such causes are without the failure or negligence of the affected party.
Such causes include acts of God, fire, flood, epidemic, pandemic, strike, work stoppage, labor difficulty, acts of governmental authority, federal laws, state laws, local laws, orders or regulations, embargo, tariffs, duties, import restrictions, export restrictions, customs delays, supply chain disruption, manufacturer production delays, material shortages, carrier delays, freight delays, port delays, war, terrorist act, riot, civil commotion, insurrection, severe weather, natural disaster, or any other event or circumstance not within the reasonable control of the affected party.
Economic hardship alone shall not be considered a Force Majeure Event. However, cost increases, tariffs, duties, freight increases, material increases, manufacturer increases, and similar charges may be addressed under the Quotes and Pricing section of these Terms and Conditions.

Information presented on the Creative Displays, Inc. website, in any catalog, in any social media channel, in any email, in any conversation, or in any other communication is provided for general informational purposes only.
Information presented is subject to change without notice. Product specifications, availability, pricing, dimensions, descriptions, colors, finishes, technical information, product images, and other information may change without notice.

Ordering
Orders may be placed through the Creative Displays, Inc. website, by catalog, by mail, by telephone, by email, through a quotation, through a sales order, through an invoice, or through another order process accepted by Creative Displays, Inc.
Creative Displays, Inc. may accept, reject, cancel, or condition any order in its discretion, including orders involving unavailable products, pricing errors, product errors, suspected fraud, credit issues, past due balances, shipping restrictions, or other issues.
An order is not accepted by Creative Displays, Inc. until Creative Displays, Inc. confirms acceptance, issues a sales order, issues an invoice, processes payment, begins procurement, begins production, or ships the product, as applicable.
Shipping
Creative Displays, Inc. ships merchandise to locations within the United States and United States territories, including Alaska, Hawaii, Puerto Rico, Guam, and the United States Virgin Islands. Creative Displays, Inc. also ships merchandise to Canada and Mexico, but not to other international locations unless expressly agreed in writing.
Unless otherwise agreed in a writing signed by Creative Displays, Inc., risk of loss and title for merchandise pass to customer when the merchandise is delivered to the shipping carrier.
Customer must notify Creative Displays, Inc. before shipping if customer wishes to obtain insurance for an order. Insurance may result in additional charges.
Most in stock orders will ship within twenty-four to forty-eight hours, Monday through Friday only, provided the item is in stock and the order is accepted. Expedited orders, including overnight and two-day air, will be expedited and will generally be shipped within twenty-four hours of placing the order when the item is in stock and the order is accepted.
Orders are not processed or shipped on Saturday, Sunday, holidays, or during inclement weather. Creative Displays, Inc. does not ship to post office box addresses.
Creative Displays, Inc. may provide an estimate of shipping charges based on weight, box dimensions, shipping location, and shipping method. Actual shipping charges may apply and are subject to change without notice.
Some products may be eligible for free shipping. Free shipping will be sent by FedEx Ground, USPS, or another carrier selected by Creative Displays, Inc. within the continental United States. Alaska, Hawaii, United States territories, Canada, Mexico, and international orders are excluded from free shipping unless expressly stated in writing by Creative Displays, Inc.
Shipping dates, delivery dates, transit times, and arrival dates are estimates only and are not guaranteed. Creative Displays, Inc. is not responsible for carrier delays, freight delays, weather delays, missed deliveries, returned shipments, customs delays, port delays, labor delays, or other events outside its reasonable control.
If delivery is attempted and customer is not available to accept delivery, the carrier may make additional attempts or may return the shipment. Customer is responsible for any resulting return freight, redelivery fees, storage fees, handling fees, carrier fees, or other charges.
Freight, Damage, and Shortage Claims
Customer is responsible for inspecting all shipments at delivery.
Visible damage, missing cartons, missing pieces, crushed packaging, torn packaging, or other visible shipping issues must be noted on the delivery receipt, bill of lading, receiving ticket, or carrier document before signing for the shipment.
Customer must take photographs of damaged packaging and damaged products as received. Proper documentation should include photographs of the shipment before unpacking when damage is visible.
Creative Displays, Inc. assumes no responsibility for freight issues or disputes with carriers once products are delivered to the carrier, unless otherwise agreed in writing by Creative Displays, Inc.
All claims for merchandise delayed, lost, or damaged in transit are the responsibility of customer as consignee, unless otherwise agreed in writing by Creative Displays, Inc.
Customer must notify Creative Displays, Inc. of visible damage, concealed damage, missing cartons, missing pieces, or shipment shortages within five business days after delivery. Failure to provide timely notice and proper documentation may result in denial of the claim.
Returns
Some products may be eligible for return within thirty days after delivery, subject to written approval by Creative Displays, Inc.
Customer must contact Creative Displays, Inc. to determine whether an item is eligible for return. No return is accepted without prior approval by Creative Displays, Inc.
If eligible for return, the item must be unused, in the same condition received, and in the original packaging.
Creative Displays, Inc. reserves the right to charge a restocking fee of twenty-five percent for returns. Creative Displays, Inc. may choose to waive the restocking fee if an additional order is placed.
Custom, made to order, special order, seasonal, modified, imported, production, nonstock, discontinued, clearance, or final sale products are not eligible for return, refund, or exchange unless expressly approved in writing by Creative Displays, Inc.
Customer is responsible for paying all shipping costs for returns. Shipping costs are nonrefundable.
Once Creative Displays, Inc. receives a returned item, Creative Displays, Inc. will inspect the item. If the return is approved, Creative Displays, Inc. may issue a credit or refund in the same manner as payment was received, or by another method selected by Creative Displays, Inc.
If a product is defective, customer must notify Creative Displays, Inc. within thirty days after delivery. Any approved defective product claim is subject to the Limitation on Liability, Warranty Disclaimer, Manufacturer Warranties, and Claims Period sections of these Terms and Conditions.
No returns are accepted after December 1 of the calendar year in which the order was placed.
Storage of Completed Orders
If customer requests that Creative Displays, Inc. hold a completed order beyond fourteen days after notice that the order is ready to ship, or if shipment, pickup, delivery, or final payment is delayed due to circumstances within customer’s control, the full balance of the invoice becomes due.
Creative Displays, Inc. reserves the right to charge reasonable storage and handling fees for each month or partial month the order is held.
If Creative Displays, Inc. holds completed products at customer request, or because customer delays shipment, pickup, delivery, site readiness, or final payment, customer assumes risk of loss for the products while stored, to the fullest extent permitted by applicable law.
Storage by Creative Displays, Inc. does not create a warehouseman obligation, bailee obligation, insurance obligation, or additional duty beyond reasonable care.
Taxation
In some states, Creative Displays, Inc. is required to charge sales tax unless customer is a licensed reseller or has other nonprofit, governmental, or tax-exempt status and provides a valid seller permit, resale certificate, exemption certificate, or tax-exempt identification number.
Creative Displays, Inc. cannot process a tax-exempt order until proper documentation has been provided and accepted.
Once customer has submitted valid documentation, Creative Displays, Inc. may keep it on file with customer’s account. Customer is responsible for renewing or updating tax exemption documentation if information changes or if Creative Displays, Inc. requests updated documentation.
If the shipping address is outside the United States, customer is responsible for paying all import taxes, tariffs, duties, customs charges, brokerage fees, or other charges due. Customs and import duties may be applied when the shipment reaches its destination. Such charges are customer’s responsibility and vary by country.
Shipping laws are different in each country. Customer is responsible for checking with local customs authorities to verify whether the destination country permits shipment of the ordered products.
Creative Displays, Inc. is not responsible for any direct, indirect, punitive, incidental, special, or consequential damages that arise from improper international shipping practices, customs issues, import restrictions, or destination country requirements.
Claims Period
To the fullest extent permitted by applicable law, any claim or cause of action arising out of or related to these Terms and Conditions, any order, any product, any service, any shipment, any delivery, any defect, any delay, any invoice, or any transaction with Creative Displays, Inc. must be commenced within one year after delivery of the product, performance of the service, or accrual of the claim, whichever occurs first, or the claim is permanently barred.
Governing Law
In the event of litigation or other dispute, customer agrees that the law of the State of Kansas shall apply, without regard to conflict of law rules.
Customer consents to jurisdiction and venue in the state courts located in Kansas, or, if federal jurisdiction exists, the United States District Court for the District of Kansas.
To the extent any dispute proceeds in court rather than arbitration, both parties expressly waive trial by jury to the fullest extent permitted by applicable law.
Arbitration
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, any product, any service, any order, any sales order, any invoice, any shipment, any delivery, or any transaction with Creative Displays, Inc. shall be resolved by final and binding arbitration pursuant to the Federal Arbitration Act.
The arbitration shall be conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties or otherwise determined by the arbitrator.
The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction.
The prevailing party in any legal action, equitable action, proceeding, or arbitration arising out of or relating to these Terms and Conditions shall be entitled to recover reasonable costs and attorney fees to the fullest extent permitted by applicable law.
The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. The arbitrator shall determine the scope and enforceability of this arbitration provision.
This arbitration provision shall survive termination, completion, cancellation, or fulfillment of any order or transaction.
Class Action Waiver
Any arbitration under these Terms and Conditions shall take place on an individual basis only.
Class arbitrations, class actions, collective actions, representative actions, and private attorney general actions are not permitted to the fullest extent permitted by applicable law.
The parties agree that a party may bring claims against the other only in that party’s individual capacity, and not as a plaintiff, class member, collective member, representative, or private attorney general in any class, collective, representative, or private attorney general proceeding.
Unless both customer and Creative Displays, Inc. agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of class, collective, representative, or private attorney general proceeding.
Changes to Terms
Creative Displays, Inc. reserves the right, in its sole discretion, to change these Terms and Conditions.
The most current version of these Terms and Conditions will apply to orders placed after the updated Terms and Conditions are posted or provided, unless otherwise agreed in writing by Creative Displays, Inc.
Creative Displays, Inc. encourages customers to periodically review these Terms and Conditions to stay informed of updates.
Entire Agreement
These Terms and Conditions, together with any applicable quotation, sales order, order confirmation, invoice, or written agreement signed by Creative Displays, Inc., constitute the agreement between customer and Creative Displays, Inc. for the applicable transaction.
These Terms and Conditions supersede prior or contemporaneous communications and proposals, whether electronic, oral, or written, concerning the applicable transaction, except to the extent a written agreement signed by Creative Displays, Inc. expressly states otherwise.
No modification of these Terms and Conditions shall be effective unless authorized in writing by Creative Displays, Inc.
Severability
If any provision of these Terms and Conditions is found to be contrary to law, invalid, or unenforceable, that provision shall be modified only to the minimum extent necessary to make it valid and enforceable, and all remaining provisions shall remain in full force and effect.
No Waiver
Failure by Creative Displays, Inc. to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other provision.
